Thank you for using Mom’s Kitchen. These Terms of Service or The Terms & Condition (the "Terms") are intended to make you aware of your legal rights and responsibilities with respect to your access to and use of the Mom’s Kitchen website at momskitchenapp.com and order.momskitchenapp.com (the "Website" or  “Site") and any related mobile or software applications (jointly referred as “Website”, “Site", “App", "Mom’s Kitchen ", "Mom’s Kitchen App" or "Mom’s Kitchen Platform") including but not limited to delivery of information via the website whether existing now or in the future that link to the Terms (collectively, the "Services").

Please read these Terms carefully. By accessing or using the Mom’s Kitchen Platform, you are agreeing to these Terms and concluding a legally binding contract with Mom’s Kitchen, which is owned by Mom’s Kitchen, a firm having its office at A 17-1, Kendriya Vihar, Sector 11, Kharghar, Navi Mumbai, Maharashtra, 410210, India. You may not use the Services if you do not accept the Terms or are unable to be bound by the Terms. Your use of the Mom’s Kitchen Platform is at your own risk; including the risk that you might be exposed to content that is objectionable, or otherwise inappropriate.

In order to use the Services, you must first agree to the Terms. You accept the Terms by:

•    Clicking to accept or agree to the Terms, where it is made available to you by Mom’s Kitchen in the user interface for any particular Service; or
•    Actually using the Services. In this case, you understand and agree that Mom’s Kitchen will treat your use of the Services as acceptance of the Terms from that point onwards.

DEFINITIONS

A.    Customer/User

"Customer”, "You" and "your" refer to you, as a user of the Services. A "user" is someone who accesses or uses the services, browses, crawls, scrapes, share, display, host, publish, transact, upload information or in any way uses the website. "We," "us," and "our" refer to Mom’s Kitchen.

B.    Content

"Content" will include (but is not limited to) reviews, images, photos, audio, video, location data, nearby places, and all other forms of information or data. "Your content" or "Customer Content" means content that you upload, share or transmit to, through or in connection with the Services, such as likes, ratings, reviews, images, photos, messages, chat communication, profile information, or any other materials that you publicly display or displayed in your account profile. "Mom’s Kitchen Content" means content that Mom’s Kitchen creates and make available in connection with the Services including, but not limited to, visual interfaces, interactive features, graphics, design, compilation, computer code, products, software, aggregate ratings, reports and other usage-related data in connection with activities associated with your account and all other elements and components of the Services excluding Your Content and Third Party Content. "Third Party Content" means content that comes from parties other than Mom’s Kitchen or its Customers, such as Kitchen Partners and is available on the Services.

C.    Kitchen(s) / Kitchen Partner (s) / Restaurant Partner (s)

"Kitchen" means the kitchens listed on Mom’s Kitchen and any related mobile or software applications of Mom’s Kitchen.

1.    CHANGES TO THE TERMS OF SERVICE

We may modify the Terms from time to time. The most current version of these Terms will be located here. You understand and agree that your access to or use of the Site is governed by the Terms effective at the time of your access to or use of the Site. If we make material changes to these Terms, we will notify you by email or by posting a notice on the Site prior to the effective date of the changes. We will also indicate at the top of this page the date that revisions were last made. You should revisit these Terms on a regular basis as revised versions will be binding on you. Any such modification will be effective upon our posting of new Terms. You understand and agree that your continued access to or use of the Site after the effective date of modifications to the Terms indicates your acceptance of the modifications.

2.    TRANSLATION

We may translate these Terms into other languages for your convenience. Nevertheless, the English version governs your relationship with Mom’s Kitchen, and any inconsistencies among the different versions will be resolved in favour of the English version.

3.    USING THE SITE

A.    Eligibility

To access or use the Site, you must be 18 years or older and have the requisite power and authority to enter into these Terms. You may not access or use the Site if you are a competitor of ours or if we have previously banned you from the Site or closed your account.

B.    Compliance with Laws. 

You are responsible for complying with all laws and regulations in the country in which you live when you access and use the Services. You agree to use the Services only in compliance with these Terms and applicable law, and in a manner that does not violate our legal rights or those of any third party(ies).

C.    Permission to Use the Site

We grant you permission to use the Site subject to the restrictions in these Terms. Your use of the Site is at your own risk, including the risk that you might be exposed to Content that is offensive, indecent, inaccurate, objectionable, or otherwise inappropriate.

D.    Site Availability

The Site may be modified, updated, interrupted, suspended or discontinued at any time without notice or liability.

E.    User Accounts

You may browse the Site and view Contents without registering, but as a condition to using certain aspects of the Service, you must create an account and provide certain information about yourself in order to use some of the features that are offered through the Site. Your user account may be created by our site automated system during checkout. In that case a system generated login details will be emailed to you at your email address used during checkout. You are responsible for maintaining the confidentiality of your account password. You are also responsible for all activities that occur in connection with your account. You agree to notify us immediately of any unauthorized use of your account. We reserve the right to close your account at any time for any or no reason.

Your account is for your personal, non-commercial use only. In creating it, we ask that you provide complete and accurate information about yourself to bolster your credibility as a contributor to the Site. You may not impersonate someone else (e.g., adopt the identity of a celebrity or your next-door neighbour), create or use an account for anyone other than yourself, provide an email address other than your own, or create multiple accounts. If you use a pseudonym, take care to note that others may still be able to identify you if, for example, you include identifying information in your reviews, use the same account information on other sites, or allow other sites to share information about you with Mom’s Kitchen. Please read our Privacy Policy for more information.

F.    Communications from Mom’s Kitchen and other Users

By creating an account, you agree to receive certain communications in connection with the Site. For example, you might receive compliments, comments, email or messages from other Users. You will also receive our weekly e-mail newsletter about happenings in your neighbourhood. You may also receive promotional and transactional SMS from Mom’s Kitchen and kitchens listed on Mom’s Kitchen Platform.

4. PROVISION OF THE SERVICES BEING OFFERED BY MOM’S KITCHEN

Mom’s Kitchen is constantly evolving in order to provide the best possible experience and information to its users. You acknowledge and agree that the form and nature of the Services Which Mom’s Kitchen provides, may require effecting certain changes in it, therefore, Mom’s Kitchen reserves the right to suspend/cancel, or discontinue any or all products or services at any time without notice, make modifications and alterations in any or all of its contents, products and services contained on the site without any prior notice.

We, the software, or the software application store that makes the software available for download may include functionality to automatically check for updates or upgrades to the software. Unless your device, its settings, or computer software does not permit transmission or use of upgrades or updates, you agree that we, or the applicable software or software application store, may provide notice to you of the availability of such upgrades or updates and automatically push such upgrade or update to your device or computer from time-to-time. You may be required to install certain upgrades or updates to the software in order to continue to access or use the Services, or portions thereof (including upgrades or updates designed to correct issues with the Services). Any updates or upgrades provided to you by us under the Terms shall be considered part of the Services.

You acknowledge and agree that if Mom’s Kitchen disables access to your account, you may be prevented from accessing the Services, your account details or any files or other content, which is contained in your account.

You acknowledge and agree that while Mom’s Kitchen may not currently have set a fixed upper limit on the number of transmissions you may send or receive through the Services, Mom’s Kitchen may set such fixed upper limits at any time, at Mom’s Kitchen's discretion.

By using Mom’s Kitchen's Services, you agree to the following disclaimer: The Content on these Services is for informational purposes only. Mom’s Kitchen disclaims any liability for any information that may have become outdated since the last time the particular piece of information was updated. Mom’s Kitchen reserves the right to make changes and corrections to any part of the Content on these Services at any time without prior notice. Mom’s Kitchen does not guarantee quality of the Goods, the prices listed in menus or the availability of all menu items at any kitchen/restaurant. Unless stated otherwise, all pictures and information contained on these Services are believed to be owned by or licensed to Mom’s Kitchen. Please email a takedown request (by using the “Contact” link on the home page) to the webmaster if you are the copyright owner of any Content on these Services and you think the use of the above material violates your copyright in any way. Please indicate the exact URL of the webpage in your request. All images shown here have been digitized by Mom’s Kitchen. No other party is authorized to reproduce or republish these digital versions in any format whatsoever without the prior written permission of Mom’s Kitchen.

Mom’s Kitchen reserves the right to charge subscription and/or membership fees and/or commission and/or platform fees and/or additional surcharge from a user, by giving reasonable prior notice, in respect of any product, service or any other aspect of the Mom’s Kitchen Platform anytime in future.

Mom’s Kitchen may from time to time introduce referral and/or incentive based programs for its users (Program). These Program(s) maybe governed by their respective terms and conditions. By participating in the Program, Users are bound by the Program terms and conditions as well as the Mom’s Kitchen Platform terms. Further, Mom’s Kitchen reserves the right to terminate / suspend the User’s account and/or credits / points earned and/or participation of the User in the Program if Mom’s Kitchen determines in its sole discretion that the User has violated the rules of the Program and/or has been involved in activities that are in contravention of the Program terms and/or Mom’s Kitchen Platform terms or has engaged in activities which are fraudulent / unlawful in nature. Furthermore, Mom’s Kitchen reserves the right to modify, cancel and discontinue its Program without notice to the User.

5.    OTHER TERMS

In order to connect you to certain kitchens/restaurants, we provide value added telephony services through our phone lines, which are displayed on the specific kitchen/restaurant listing page on the Mom’s Kitchen Platform, which connect directly to kitchens/restaurants’ phone lines. We record all information regarding this call including the voice recording of the conversation between you, and the kitchen/restaurant (for internal billing tracking purposes and customer service improvement at the kitchen/restaurant's end). If you do not wish that your information be recorded in such a manner, please do not use the telephone services provided by Mom’s Kitchen. You explicitly agree and permit Mom’s Kitchen to record all this information when you avail the telephony services through the Mom’s Kitchen provided phone lines on the Mom’s Kitchen Platform.

You agree to use the Services only for purposes that are permitted by (a) the Terms and (b) any applicable law, regulation or generally accepted practices or guidelines in the relevant jurisdictions.

You agree to use the data owned by Mom’s Kitchen (as available on the Services or through any other means like API etc.) only for personal use/purposes and not for any commercial use unless agreed to by/with Mom’s Kitchen in writing.

You agree not to access (or attempt to access) any of the Services by any means other than the interface that is provided by Mom’s Kitchen, unless you have been specifically allowed to do so, by way of a separate agreement with Mom’s Kitchen. You specifically agree not to access (or attempt to access) any of the Services through any automated means (including use of scripts or web crawlers) and shall ensure that you comply with the instructions set out in any robots.txt file present on the Services.

You agree that you will not engage in any activity that interferes with or disrupts the Services (or the servers and networks which are connected to the Services). You shall not delete or revise any material or information posted by any other User(s), shall not engage in spamming, including but not limited to any form of emailing, posting or messaging that is unsolicited.

6.    CONTENT

A.    Responsibility for Your Content

You alone are responsible for Your Content, and once published, it cannot always be withdrawn. You assume all risks associated with Your Content, including anyone's reliance on its quality, accuracy, or reliability, or any disclosure by you of information in Your Content that makes you personally identifiable. You represent that you own, or have the necessary permissions to use and authorize the use of Your Content as described herein. You may not imply that Your Content is in any way sponsored or endorsed by Mom’s Kitchen.

You may expose yourself to liability if, for example, Your Content contains material that is false, intentionally misleading, or defamatory; violates any third-party right, including any copyright, trademark, patent, trade secret, moral right, privacy right, right of publicity, or any other intellectual property or proprietary right; contains material that is unlawful, including illegal hate speech or pornography; exploits or otherwise harms minors; or violates or advocates the violation of any law or regulation.

B.    Our Right to Use Your Content

We may use Your Content in a number of different ways, including publicly displaying it, reformatting it, incorporating it into advertisements and other works, creating derivative works from it, promoting it, distributing it, and allowing others to do the same in connection with their own websites and media platforms ("Other Media"). As such, you hereby irrevocably grant us world-wide, perpetual, non-exclusive, royalty-free, assignable, sub licensable, transferable rights to use Your Content for any purpose. Please note that you also irrevocably grant the users of the Site and any Other Media the right to access Your Content in connection with their use of the Site and any Other Media. Finally, you irrevocably waive, and cause to be waived, against Mom’s Kitchen and its users any claims and assertions of moral rights or attribution with respect to Your Content. By "use" we mean use, copy, publicly perform and display, reproduce, distribute, modify, translate, remove, analyse, commercialize, and prepare derivative works of Your Content.

C.    Ownership

As between you and Mom’s Kitchen, you own Your Content. We own the Mom’s Kitchen Content, including but not limited to visual interfaces, interactive features, graphics, design, compilation, including, but not limited to, our compilation of User Content and other Site Content, computer code, products, software, applications, aggregate user review ratings, and all other elements and components of the Site excluding Your Content, User Content and Third Party Content. We also own the copyrights, trademarks, service marks, trade names, and other intellectual and proprietary rights throughout the world ("IP Rights") associated with the Mom’s Kitchen Content and the Site, which are protected by copyright, trade dress, patent, trademark laws and all other applicable intellectual and proprietary rights and laws. As such, you may not modify, reproduce, distribute, create derivative works or adaptations of, publicly display or in any way exploit any of the Mom’s Kitchen Content in whole or in part except as expressly authorized by us. Except as expressly and unambiguously provided herein, we do not grant you any express or implied rights, and all rights in and to the Site and the Mom’s Kitchen Content are retained by us.

D.    Advertising

Mom’s Kitchen and its licensees may publicly display advertisements and other information adjacent to or included with Your Content. You are not entitled to any compensation for such advertisements. The manner, mode and extent of such advertising are subject to change without specific notice to you.

Some of the Services are supported by advertising revenue and may display advertisements and promotions. These advertisements may be targeted to the content of information stored on the Services, queries made through the Services or other information. The manner, mode and extent of advertising by Mom’s Kitchen on the Services are subject to change without specific notice to you. In consideration for Mom’s Kitchen granting you access to and use of the Services, you agree that Mom’s Kitchen may place such advertising on the Services.

Part of the site may contain advertising information or promotional material or other material submitted to Mom’s Kitchen by third parties or Users. Responsibility for ensuring that material submitted for inclusion on the Mom’s Kitchen Platform or mobile apps complies with applicable international and national law is exclusively on the party providing the information/material. Your correspondence or business dealings with, or participation in promotions of, advertisers other than Mom’s Kitchen found on or through the Mom’s Kitchen Platform and or mobile apps, including payment and delivery of related goods or services, and any other terms, conditions, warranties or representations associated with such dealings, shall be solely between you and such advertiser. Mom’s Kitchen will not be responsible or liable for any error or omission, inaccuracy in advertising material or any loss or damage of any sort incurred as a result of any such dealings or as a result of the presence of such other advertiser(s) on the Mom’s Kitchen Platform.


E.    Content Feeds

We make some of the Site Content ("Feed Content") available via Really Simple Syndication and Atom feeds ("Feeds"). You may access and use the Feeds in order to display Feed Content on your personal computer, website, or blog ("Your Site"), provided that (i) your use of the Feeds is for personal, non-commercial purposes only, (ii) your display of the Feed Content links back to the relevant pages on Mom’s Kitchen's websites, and attributes Mom’s Kitchen as the source of the Feed Content, (iii) your use or display of the Feed Content does not suggest that Mom’s Kitchen promotes or endorses any third party causes, ideas, websites, products or services, including Your Site, (iv) you do not redistribute the Feed Content, and (v) your use of the Feeds does not overburden Mom’s Kitchen Platform. Mom’s Kitchen reserves all rights in the Feed Content and may terminate the Feeds at any time. Please Contact us to inquire about other possible uses of the Feeds.

F.    User Reviews

User reviews or ratings for Kitchens do not reflect the opinion of Mom’s Kitchen. Mom’s Kitchen receives multiple reviews or ratings for Kitchens by users, which reflect the opinions of the Users. It is pertinent to state that each and every review posted on Mom’s Kitchen is the personal opinion of the user/reviewer only. Mom’s Kitchen is a neutral platform, which solely provides a means of communication between users/reviewers including users or kitchen partners/representatives with access to kitchen business panel. The advertisements published on the Mom’s Kitchen Platform are independent of the reviews received by such advertisers. We are a neutral platform and we don’t arbitrate disputes, however in case if someone writes a review that the kitchen partner does not consider to be true, the best option for the kitchen representative would be to contact the reviewer or post a public response in order to clear up any misunderstandings. If the kitchen partner believes that any particular user’s review violates any of the Mom’s Kitchen policies, the kitchen partner may write to us using our contact page and bring such violation to our attention. Mom’s Kitchen may remove the review in its sole discretion if review is in violation of the Terms, or content guidelines and policies or otherwise harmful to the Services.

G.    Content Removal

User Content (including any that may have been created by users employed or contracted by Mom’s Kitchen) does not necessarily reflect the opinion of Mom’s Kitchen. We reserve the right to remove, screen, edit, or reinstate User Content from time to time at our sole discretion for any reason or no reason, and without notice to you. For example, we may remove a review which is derogatory, defamatory or hateful or if we believe it violates our Content Guidelines. We have no obligation to retain or provide you with copies of Your Content, nor do we guarantee any confidentiality with respect to Your Content.

7.    RESTRICTIONS

We are under no obligation to enforce the Terms on your behalf against another user. While we encourage you to let us know if you believe another user has violated the Terms, we reserve the right to investigate and take appropriate action at our sole discretion.

A.    You agree not to, and will not assist, encourage, or enable others to use the Site to:

i.    Violate our Content Guidelines, for example, by writing a fake or defamatory review, trading reviews with other businesses, or compensating someone or being compensated to write or remove a review;
ii.    Violate any third party's rights, including any breach of confidence, copyright, trademark, patent, trade secret, moral right, privacy right, right of publicity, or any other intellectual property or proprietary right;
iii.    Threaten, stalk, harm, or harass others, or promote bigotry or discrimination;
iv.    Send bulk emails, surveys, or other mass messaging, whether commercial in nature or not; engage in keyword spamming, or otherwise attempt to manipulate the Site's search results or any third party website;
v.    Solicit personal information from minors, or submit or transmit pornography; or
vi.    Violate any applicable law.

B.    You also agree not to, and will not assist, encourage, or enable others to:

i.    Violate the Terms;
ii.    Modify, adapt, appropriate, reproduce, distribute, translate, create derivative works or adaptations of, publicly display, sell, trade, or in any way exploit the Site or Site Content (other than Your Content), except as expressly authorized by Mom’s Kitchen;
iii.    Use any robot, spider, site search/retrieval application, or other automated device, process or means to access, retrieve, scrape, or index any portion of the Site or any Site Content;
iv.    Reverse engineer any portion of the Site;
v.    Remove or modify any copyright, trademark or other proprietary rights notice that appears on any portion of the Site or on any materials printed or copied from the Site;
vi.    Record, process, or mine information about other users;
vii.    Access, retrieve or index any portion of the Site for purposes of constructing or populating a searchable database of business reviews;
viii.    Reformat or frame any portion of the Site;
ix.    Take any action that imposes, or may impose, in our sole discretion, an unreasonable or disproportionately large load on Mom’s Kitchen's technology infrastructure or otherwise make excessive traffic demands of the Site;
x.    Attempt to gain unauthorized access to the Site, user accounts, computer systems or networks connected to the Site through hacking, password mining or any other means;
xi.    Use the Site or any Site Content to transmit any computer viruses, worms, defects, Trojan horses or other items of a destructive nature (collectively, "Viruses");
xii.    Use any device, software or routine that interferes with the proper working of the Site, or otherwise attempt to interfere with the proper working of the Site;
xiii.    Use the Site to violate the security of any computer network, crack passwords or security encryption codes; disrupt or interfere with the security of, or otherwise cause harm to, the Site or Site Content; or
xiv.    Remove, circumvent, disable, damage or otherwise interfere with any security-related features of the Site, features that prevent or restrict the use or copying of Site Content or features that enforce limitations on the use of the Site.

The restrictions above only apply to the extent permissible under applicable law. Nevertheless, you agree not to act contrary to them (even if permissible under applicable law) without providing 30 days' prior written notice to us here, together with any information that we may reasonably require to give us an opportunity to provide alternative remedies or otherwise accommodate you at our sole discretion.

8.    GUIDELINES AND POLICIES

A.    Content Guidelines

You represent that you have read and understood our Content Guidelines.

•    Keep it relevant: Please keep your contributions relevant to Mom’s Kitchen. Accounts placing irrelevant, inappropriate, or promotional content that solicit customers, or that spam kitchens, may be deleted without notice.

•    Keep it clean: Whether you're writing short review or a delightfully detailed account of your meal, keep foul/abusive/hateful language, threats, and lewdness out of it. We just like you, hate junk and will delete it whenever we see it. This also includes (but is not limited to) a derogatory comment on someone’s protected characteristics (e.g. race, gender, religion) or indication of a personal vendetta against a business and its associates. If you fill the space with junk, we might have to remove the review altogether.

•    Keep it fresh: Only one review per restaurant can be submitted; your most recent experience at a place counts. That's what is going to help people when they're trying to decide whether or not to eat there. You're free to edit and update your review based on subsequent visits at any time.

•    Keep it real: Write your review based on facts and your own experiences (not a friend's). Please don't exaggerate or falsify your experience. We do not take sides in cases of dispute, so make sure you can stand by your word. Deceptive, fake, or misleading reviews will be removed. Accepting or soliciting a kickback – monetary or otherwise – in exchange for reviews or photographs is also not acceptable, and could result in removal of your profile.

•    Don't steal: Plagiarism is something we take seriously. Copying others' reviews or photos, or even re-posting your own in multiple places on Mom’s Kitchen (in full or in part), is something that will not be tolerated. We trust that you'll play fair and create your own content.

•    Tell the whole story: If you luck into a free meal of the kitchen, or have a relevant association with a kitchen or its owners, give full disclosure in your review. We're sure that honesty is the best policy, and other users will respect you even more for it. If you have made it to the major league as a food writer or critic, let us know and we can provide special access for your blog link to appear with your reviews. We love summaries, but incomplete reviews with a manually added link will be removed.

•    Be yourself: Your profile is your identity on Mom’s Kitchen, so keep it real. You're welcome to use a screen name but please refrain from using inappropriate names, bios, or profile images. We want to stay clean, and we might end up removing your account depending on how inappropriate your profile is.

•    Don't misrepresent: Identifying or promoting yourself as an official Mom’s Kitchen blogger, or using your status to solicit benefits in exchange for promotion or at the threat of negative reviews on Mom’s Kitchen will not be tolerated. If reports or evidence of such instances are brought to our attention, we reserve the right to delete your Mom’s Kitchen profile, no questions asked.

•    Play by the rules: The content you add should be in compliance with Mom’s Kitchen’s Terms and Conditions, as well as local laws and regulations. Local laws take precedence, and content may be moderated to adhere to these.

•    Seek help from the right people: Mom’s Kitchen is a website and mobile application with no claims to be a court of law or a ministry of health (we aren't serious enough to do those jobs). If you have a dispute with a kitchen, or if you feel a kitchen does not measure up to health codes, we encourage you to contact the appropriate authorities directly. Mom’s Kitchen is not the appropriate platform for reporting illegal activities, physical confrontations and health code violations, we encourage that such accusations be reported to the concerned authorities rather than being mentioned in reviews.


B.    Privacy

You represent that you have read and understood our Privacy Policy. Note that we may disclose information about you to third parties if we have a good faith belief that such a disclosure is reasonably necessary to (i) take action regarding suspected illegal activities; (ii) enforce or apply our Terms and Privacy Policy; (iii) comply with legal process or other government inquiry, such as a search warrant, subpoena, statute, judicial proceeding, or other legal process served on us; or (iv) protect our rights, reputation, and property, or that of our users, affiliates, or the public. If you use the Site, you consent to having your personal data transferred to and processed in any part of the World.

C.    Restrictions on use

Without limiting the generality of these Terms, in using the Services, you specifically agree not to post or transmit any content (including review) or engage in any activity that, in our sole discretion:

•    Violate our Guidelines and Polices;

•    Is harmful, threatening, abusive, harassing, tortious, indecent, defamatory, discriminatory, vulgar, profane, obscene, libellous, hateful or otherwise objectionable, invasive of another’s privacy, relating or encouraging money laundering or gambling;

•    Constitutes an inauthentic or knowingly erroneous review, or does not address the goods and services, atmosphere, or other attributes of the business you are reviewing.

•    Contains material that violates the standards of good taste or the standards of the Services;

•    Violates any third-party right, including, but not limited to, right of privacy, right of publicity, copyright, trademark, patent, trade secret, or any other intellectual property or proprietary rights;

•    Accuses others of illegal activity, or describes physical confrontations;

•    Alleges any matter related to health code violations requiring healthcare department reporting. Refer to our Guidelines and Policies for more details about health code violations.

•    Interferes with, disrupts, or destroys the functionality or use of any features of the Services or the servers or networks connected to the Services;

•    “Hacks” or accesses without permission our proprietary or confidential records, records of another user, or those of anyone else;

•    Violates any contract or fiduciary relationship (for example, by disclosing proprietary or confidential information of your employer or client in breach of any employment, consulting, or non-disclosure agreement);

•    Decompiles, reverse engineers, disassembles or otherwise attempts to derive source code from the Services;

•    Removes, circumvents, disables, damages or otherwise interferes with security-related features, or features that enforce limitations on use of, the Services;

•    Violates the restrictions in any robot exclusion headers on the Services, if any, or bypasses or circumvents other measures employed to prevent or limit access to the Services;

•    Collects, accesses, or stores personal information about other users of the Services;

•    Is posted by a bot;

•    Harms minors in any way;

•    Threatens the unity, integrity, defence, security or sovereignty of India or of the country of use, friendly relations with foreign states, or public order or causes incitement to the commission of any cognizable offence or prevents investigation of any offence or is insulting any other nation;

•    Modifies, copies, scrapes or crawls, displays, publishes, licenses, sells, rents, leases, lends, transfers or otherwise commercialize any rights to the Services or Our Content; or

•    Attempts to do any of the foregoing.

You acknowledge that Mom’s Kitchen has no obligation to monitor your – or anyone else’s – access to or use of the Services for violations of the Terms, or to review or edit any content. However, we have the right to do so for the purpose of operating and improving the Services (including without limitation for fraud prevention, risk assessment, investigation and customer support purposes), to ensure your compliance with the Terms and to comply with applicable law or the order or requirement of legal process, a court, consent decree, administrative agency or other governmental body.

You hereby agree and assure Mom’s Kitchen that the Mom’s Kitchen Platform/Services shall be used for lawful purposes only and that you will not violate laws, regulations, ordinances or other such requirements of any applicable Central, Federal State or local government or international law(s). You shall not upload, post, email, transmit or otherwise make available any unsolicited or unauthorized advertising, promotional materials, junk mail, spam mail, chain letters or any other form of solicitation, encumber or suffer to exist any lien or security interest on the subject matter of these Terms or to make any representation or warranty on behalf of Mom’s Kitchen in any form or manner whatsoever.

Any Content uploaded by you, shall be subject to relevant laws of India and of the country of use and may be disabled, or and may be subject to investigation under applicable laws. Further, if you are found to be in non-compliance with the laws and regulations, these terms, or the privacy policy of the Mom’s Kitchen Platform, Mom’s Kitchen shall have the right to immediately block your access and usage of the Mom’s Kitchen Platform and Mom’s Kitchen shall have the right to remove any non-compliant content and or comment forthwith, uploaded by you and shall further have the right to take appropriate recourse to such remedies as would be available to it under various statutes.

D.    Copyright and Trademark Disputes

Mom’s Kitchen shall not be liable for any infringement of copyright arising out of materials posted on or transmitted through the Mom’s Kitchen Platform, or items advertised on the Mom’s Kitchen Platform, by end users or any other third parties. We respect the intellectual property rights of others and require those that use the Services to do the same. We may, in appropriate circumstances and at our discretion, remove or disable access to material on the Services that infringes upon the copyright rights of others. We also may, in our discretion, remove or disable links or references to an online location that contains infringing material or infringing activity. In the event that any users of the Services repeatedly infringe on others’ copyrights, we may in our sole discretion terminate those individuals’ rights to use the Services If you believe that your copyright has been or is being infringed upon by material found in the Services, you are required to follow the below procedure to file a notification:

•    Identify in writing the copyrighted material that you claim has been infringed upon;

•    Identify in writing the material on the Services that you allege is infringing upon copyrighted material, and provide sufficient information that reasonably identifies the location of the alleged infringing material (for example, the user name of the alleged infringer and the business listing it is posted under);

9.    TERMS & CONDITIONS FOR CUSTOMERS USING ONLINE FOOD ORDERING SERVICES

•    It is the sole responsibility of participating kitchen ("Kitchen") to honour your order and deliver it to you. Mom’s Kitchen is only a facilitator between you and the Kitchen. Mom’s Kitchen shall not be liable for any acts or omissions on part of the Kitchen including deficiency in service, wrong delivery of order, quality of food, time taken to deliver order, etc.

•    Please note that some of the food may be suitable for certain ages only. You should check the dish you are ordering and read its description, if provided, prior to placing your order. Mom’s Kitchen shall not be liable in the event food ordered by you does not meet your dietary or any other requirements and restrictions.

•    While placing an order you shall be required to provide certain details. You agree to take particular care when providing these details and warrant that these details are accurate and complete at the time of placing an ordering. By providing these details, you express your acceptance to Mom’s Kitchen’s terms and privacy policies.

•    You or any person instructed by you shall not use food purchased from the online food ordering services application (the "App") for resale.

•    All prices listed on the App are correct at the time of publication, and have been placed as received from the Kitchen. While we take great care to keep them up to date, the final price charged to you by the Kitchen may change at the time of delivery. In the event of a conflict between price on the App and price charged by the Kitchen, the price charged by the Kitchen shall be deemed to be the correct price.

•    The total price for food ordered, including delivery charges and other charges, will be displayed on the App when you place your order. Users shall make full payment towards such food ordered via the App.

•    Delivery periods quoted at the time of ordering are approximate only, and may vary.

•    The details of the menu and price list available on the Services are based on the information provided by the Kitchen and we shall not be responsible for any change or cancellation or unavailability.

•    You agree and acknowledge that we shall not be responsible for the Kitchen’s services or goods not being up to your expectations or leading to any loss, harm or damage to you.

•    You may not be able to avail our Services if your delivery location is outside our current scope of Service (Zone). We will keep you informed of the same at the time of confirming your order booking.

•    You order will be only delivered to the address designated by you at the time of placing the order on the Services. We reserve the right to cancel the order, in our sole discretion, in the event of any change to the place of delivery and you shall not be entitled to any refund for the same. Delivery in the event of change of the delivery location shall be at our sole discretion.

•    You shall undertake to provide adequate directions, information and authorizations to accept delivery. In the event of any failure to accept delivery, failure to deliver within the estimated time due to your failure to provide appropriate instructions, or authorizations, then such goods shall be deemed to have been delivered to you and all risk and responsibility in relation to such goods shall pass to you and you shall not be entitled to any refund for the same. Our decision in relation to this shall be final and binding.

•    You understand that our liability ends once your order has been delivered to you.

•    You confirm that we shall not be responsible for any deficiency in payment of consideration payable towards the goods purchased from the Services.

•    Mom’s Kitchen is not responsible for validating the legal sanctity of the applicable taxes and the manner of its applicability on behalf of the Participating Kitchen. Mom’s Kitchen holds no responsibility for the legal correctness/validity of the levy of such taxes. The sole responsibility for any legal issue arising on the taxes shall reside with the Participating Kitchen.

•    Each purchase on the Service shall contain necessary instructions to redeem the Services. The terms of the services shall be governed by these Terms of Service and any other terms as set out in such document confirm such sale of service. You shall not be entitled to receive any credit, refund or cash back for the value of the goods sold if you fail to redeem the goods within the expiry date or in accordance with the terms therein.

10.    SUGGESTIONS AND IMPROVEMENTS

By sending us any ideas, suggestions, documents or proposals ("Feedback"), you agree that (i) your Feedback does not contain the confidential or proprietary information of third parties, (ii) we are under no obligation of confidentiality, express or implied, with respect to the Feedback, (iii) we may have something similar to the Feedback already under consideration or in development, and (iv) you grant us an irrevocable, non-exclusive, royalty-free, perpetual, worldwide license to use, modify, prepare derivative works, publish, distribute and sublicense the Feedback, and you irrevocably waive, and cause to be waived, against Mom’s Kitchen and its users any claims and assertions of any moral rights contained in such Feedback.

12.    INDEMNITY

You agree to indemnify, defend, and hold Mom’s Kitchen, its parents, subsidiaries, affiliates, any related companies, suppliers, licensors and partners, and the officers, directors, employees, agents and representatives of each of them (collectively, the "Mom’s Kitchen Entities") harmless, including costs, liabilities and legal fees, from any claim or demand made by any third party arising out of or relating to (i) your access to or use of the Site, (ii) your violation of the Terms, (iii) any products or services purchased or obtained by you in connection with the Site, or (iv) the infringement by you, or any third party using your account, of any intellectual property or other right of any person or entity. LIMITATION OF LIABILITY

IN NO EVENT SHALL THE MOM’S KITCHEN PARTIES BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, EXEMPLARY OR CONSEQUENTIAL DAMAGES WHATSOEVER, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, INCLUDING BUT NOT LIMITED TO, ANY LOSS OF PROFIT (WHETHER INCURRED DIRECTLY OR INDIRECTLY), ANY LOSS OF GOODWILL OR BUSINESS REPUTATION, ANY LOSS OF DATA SUFFERED, COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, OR OTHER INTANGIBLE LOSS.

FURTHERMORE, UNLESS OTHERWISE AGREED TO IN WRITING BY MOM’S KITCHEN, THE TOTAL LIABILITY OF THE MOM’S KITCHEN PARTIES TO YOU FOR ANY CAUSE OF ACTION YOU TAKE AGAINST THE MOM’S KITCHEN PARTIES WILL AT ALL TIMES BE LIMITED TO ONE HUNDRED DOLLARS ($100.00).

14.    CHOICE OF LAW AND VENUE

These Terms of Service and all transactions entered into on or through the Site and the relationship between you and Mom’s Kitchen shall be governed in accordance with the laws of India without reference to conflict of laws principles.

You agree that all claims, differences and disputes arising under or in connection with or in relation hereto the Site, these Terms and Conditions, the Contract(s) or any transactions entered into on or through the Site or the relationship between You and Mom’s Kitchen shall be subject to the exclusive jurisdiction of the courts at Navi Mumbai, India and You hereby accede to and accept the jurisdiction of such courts. Each party hereby irrevocably waives any objection which such party may now or hereafter have to the laying of improper venue or forum non convenient. Each party agrees that a judgment in any such action or proceeding may be enforced in other jurisdictions by suit on the judgment or in any manner provided by law. Any and all service of process and any other notice in any such suit, action or proceeding with respect to this Contract shall be effective against a party if given as provided herein.

15.    TERMINATION

A.    You may terminate the Terms at any time by closing your account, discontinuing your use of the Site, and providing Mom’s Kitchen with a notice of termination by contacting us. Please review our Privacy Policy for information about what we do with your account when terminated.

B.    We may close your account, suspend your ability to use certain portions of the Site, and/or ban you altogether from the Site for any or no reason, and without notice or liability of any kind. Any such action could prevent you from accessing your account, the Site, Your Content, Site Content, or any other related information.

16.    GENERAL TERMS

A.    We reserve the right to modify, update, or discontinue the Site at our sole discretion, at any time, for any or no reason, and without notice or liability.

B.    We may provide you with notices, including those regarding changes to the Terms by email, regular mail or communications through the Site.

C.    Except as otherwise stated in Section 10 above, nothing herein is intended, nor will be deemed, to confer rights or remedies upon any third party.

The failure of either party to exercise in any respect any right provided for herein shall not be deemed a waiver of any further rights hereunder.

F.    If any provision of the Terms is found to be unenforceable or invalid, then only that provision shall be modified to reflect the parties' intention or eliminated to the minimum extent necessary so that the Terms shall otherwise remain in full force and effect and enforceable.

G.    The Terms, and any rights or obligations hereunder, are not assignable, transferable or sub licensable by you except with Mom’s Kitchen's prior written consent, but may be assigned or transferred by us without restriction. Any attempted assignment by you shall violate these Terms and be void.

H.    The section titles in the Terms are for convenience only and have no legal or contractual effect.
